Risk Disclaimer, Authorization, and Limitation of Liability

This Risk Disclaimer ("Disclaimer") is a legally binding agreement between you ("Client," "you," or "your") and Trigada AI ("Company," "we," "us," or "our"). Trigada AI is a software-as-a-service (SaaS) company that provides algorithmic trading bot software. We are not a broker, investment company, trading firm, financial advisor, asset manager, or financial institution of any kind. Your funds remain 100% in your own personal broker account at all times. By accessing our website at trigada.com, subscribing to any service, or permitting Trigada AI to connect to your brokerage account, you acknowledge that you have read, understood, and agree to be bound by every provision set forth below.

Trading in FX, stocks, commodities, digital assets, and other financial instruments involves substantial risk and is not appropriate for every investor. You should carefully evaluate whether such trading activity is suitable for you in light of your financial circumstances, risk tolerance, and investment objectives.

General Risk Warning

WARNING: Trading FX, stocks, commodities, digital assets, and other leveraged financial products carries a high degree of risk to your capital and may not be suitable for all investors. You could sustain a loss of some or all of your invested funds. Do not trade with money you cannot afford to lose.

The value of financial instruments can fluctuate rapidly and unpredictably. Leverage can amplify both gains and losses, meaning you may lose more than your initial deposit. Market conditions, liquidity, geopolitical events, and unforeseen circumstances can all result in significant financial loss. You should seek independent financial advice from a licensed professional before engaging in any trading activity.

Trigada AI does not and cannot guarantee profits, specific returns, or any particular trading outcome. All trading carries inherent risk regardless of the strategy, technology, or methodology employed. No representation is being made that any account will or is likely to achieve profits or losses similar to those discussed or demonstrated.

Without limitation, Trigada AI does not guarantee:

  • That you will achieve any profit or avoid losses
  • That any specific rate of return will be generated
  • That forward-looking performance will replicate historical or backtested results
  • That algorithmic strategies will perform as intended under all market conditions
  • That your account balance will remain above your initial deposit
  • That signals, analytics, or automated actions will be timely, accurate, or error-free
  • That connection to your broker account will be uninterrupted or without latency

Past Performance Disclaimer

PAST PERFORMANCE IS NOT INDICATIVE OF FUTURE RESULTS. Hypothetical or backtested performance results have inherent limitations and do not represent actual trading. No assurance can be given that any account will or is likely to achieve profits or losses comparable to those shown.

Backtested and simulated results are generated after the fact with the benefit of hindsight. They do not reflect the impact of financial risk in actual trading, nor do they account for all factors that may affect execution, including but not limited to: lack of liquidity, slippage, spread variability, commission costs, and the psychological pressures of real capital exposure. Actual results may differ materially from any projections, backtests, or hypothetical scenarios presented.

PAMM Accounts

Where Trigada AI facilitates or connects you to Percent Allocation Management Module (PAMM) accounts, the following additional disclosures apply:

PAMM accounts involve allocating your capital to be traded by a designated money manager or algorithmic strategy. While PAMM structures allow professional trade execution on your behalf, they do not eliminate or reduce the inherent risks of trading FX, stocks, commodities, or digital assets. You remain fully responsible for any losses incurred within your PAMM allocation.

Trigada AI does not serve as a money manager, investment adviser, or fiduciary. We provide technology that facilitates the connection between your brokerage account and trading algorithms. The performance of any PAMM account depends on market conditions, the strategy deployed, and factors beyond our control. You should independently verify the terms, fee structure, and track record of any PAMM arrangement before participating.

Algorithmic & Automated Trading Risks

Trigada AI connects directly to your broker account to execute trades via algorithmic strategies. Automated trading introduces unique risks in addition to those present in manual trading. By using our services, you acknowledge and accept the following categories of risk:

Technology Risk. Automated systems depend on software, internet connectivity, server availability, and third-party infrastructure. Hardware malfunctions, software bugs, power outages, network failures, and cyberattacks may prevent the system from operating correctly, potentially resulting in missed trades, erroneous orders, or unintended positions.

Market Risk. Financial markets can experience extreme volatility, gaps, flash crashes, and periods of illiquidity. Automated strategies may not adapt quickly enough to sudden and severe market dislocations, which can result in significant losses that exceed normal expectations.

Execution Risk. The prices at which orders are filled may differ from the prices anticipated by the algorithm due to slippage, requotes, variable spreads, latency between the Trigada AI system and your broker, or partial fills. These discrepancies can negatively impact your returns.

Strategy Risk. No algorithm or trading strategy is infallible. Strategies that have performed well historically may fail under new or changed market conditions. Overfitting to past data, regime changes in market behavior, and unforeseen correlations can all render a strategy unprofitable.

Leverage Risk. Many instruments available for trading through our connected strategies involve leverage. While leverage amplifies potential profits, it equally amplifies potential losses. You may lose more than your initial deposit when trading on margin, and you are responsible for meeting any margin calls issued by your broker.

Broker Risk. Trigada AI connects to third-party brokerages to facilitate trade execution. We are not responsible for the solvency, reliability, regulatory compliance, or operational integrity of any broker. Broker insolvency, platform downtime, or policy changes could result in the loss of your deposited funds or the inability to execute trades.

Regulatory Risk. Financial regulations vary by jurisdiction and are subject to change. Changes in law, regulation, tax treatment, or enforcement policy may adversely affect the legality, cost, or viability of your trading activity. You are solely responsible for ensuring that your use of Trigada AI services complies with all applicable laws and regulations in your jurisdiction.

Your Responsibilities & Authorization

By using any Trigada AI service, you represent, warrant, and agree that:

  • You are of legal age in your jurisdiction and have the legal capacity to enter into this agreement
  • You are trading with risk capital only -- funds that, if lost entirely, would not adversely impact your lifestyle, financial obligations, or ability to meet your essential needs
  • You understand the mechanics and risks of FX, stock, commodity, and digital asset trading, including the use of leverage and margin
  • You authorize Trigada AI to connect to your designated broker account and execute trades on your behalf through automated algorithmic strategies
  • You accept full responsibility for selecting your broker, verifying its regulatory status, and funding your account
  • You will monitor your account regularly and understand that you may disable automated trading at any time through your broker
  • You have read and agree to the Trigada AI Terms of Service and Privacy Policy
  • You have sought or voluntarily declined to seek independent financial, legal, and tax advice before using our services
  • You will not hold Trigada AI, its officers, directors, employees, agents, affiliates, or partners liable for any trading losses you incur

CFTC Rule 4.41 Disclaimer

CFTC RULE 4.41 -- HYPOTHETICAL OR SIMULATED PERFORMANCE RESULTS HAVE CERTAIN LIMITATIONS. UNLIKE AN ACTUAL PERFORMANCE RECORD, SIMULATED RESULTS DO NOT REPRESENT ACTUAL TRADING. ALSO, SINCE THE TRADES HAVE NOT BEEN EXECUTED, THE RESULTS MAY HAVE UNDER- OR OVER-COMPENSATED FOR THE IMPACT, IF ANY, OF CERTAIN MARKET FACTORS, SUCH AS LACK OF LIQUIDITY. SIMULATED TRADING PROGRAMS IN GENERAL ARE ALSO SUBJECT TO THE FACT THAT THEY ARE DESIGNED WITH THE BENEFIT OF HINDSIGHT. NO REPRESENTATION IS BEING MADE THAT ANY ACCOUNT WILL OR IS LIKELY TO ACHIEVE PROFIT OR LOSSES SIMILAR TO THOSE SHOWN.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRIGADA AI, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OUR SERVICES, INCLUDING BUT NOT LIMITED TO: LOSS OF PROFITS, LOSS OF DATA, TRADING LOSSES, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR ANY OTHER FINANCIAL OR NON-FINANCIAL LOSS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In no event shall Trigada AI's total aggregate liability to you for all claims arising from or related to our services exceed the total fees you have actually paid to Trigada AI during the twelve (12) months immediately preceding the event giving rise to the claim. This limitation applies regardless of the theory of liability, whether based in contract, tort (including negligence), strict liability, or any other legal or equitable theory.

You expressly agree that your use of Trigada AI services is at your sole risk. All services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Incorporation by Reference

This Disclaimer is incorporated by reference into and forms part of the Trigada AI Terms of Service and Privacy Policy. In the event of a conflict between this Disclaimer and the Terms of Service, the provision that is more protective of Trigada AI shall govern. All capitalized terms not defined herein shall have the meanings assigned to them in the Terms of Service.
