End User License & Services Agreement

This End User License and Services Agreement ("Agreement") constitutes a binding contract between you ("User," "you," or "your") and Trigada AI ("Trigada AI," "Company," "we," "us," or "our"). This Agreement governs your access to and use of all Trigada AI software, services, applications, and related offerings (collectively, the "Services").
BY ACCESSING, INSTALLING, OR USING ANY TRIGADA AI SERVICE OR SOFTWARE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY ALL TERMS AND CONDITIONS OF THIS AGREEMENT. IF YOU DO NOT AGREE, YOU MUST NOT ACCESS OR USE THE SERVICES.
1. Definitions
"Algorithmic Software" refers to any automated trading algorithm, bot, strategy engine, or related tool developed by Trigada AI and made available through the Services.
"Broker Account" refers to the third-party brokerage or trading account that you own and maintain independently, to which Trigada AI connects via secure API integration.
"Confidential Information" means any non-public information disclosed by either party, including but not limited to trade secrets, source code, algorithmic logic, business processes, customer data, and financial information.
"Subscription Period" means the duration of your active paid subscription to the Services, as selected at the time of purchase or renewal.
"User Data" means all data, credentials, configurations, and parameters you provide or generate while using the Services, including API keys and trading preferences.
"Supported Markets" means FX, commodities, stocks, and digital asset derivatives, as applicable to your selected service tier.
2. License and Services
2.1 Grant of License
Subject to your compliance with this Agreement and timely payment of all applicable fees, Trigada AI grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Algorithmic Software and Services solely for your personal or internal business trading purposes during the Subscription Period.
2.2 Scope of Services
Trigada AI provides algorithmic trading software that connects to your Broker Account through secure API integration. The Software executes trades in Supported Markets based on parameters and configurations you define. Trigada AI is a software-as-a-service provider only and does not act as a broker, financial advisor, or asset manager.
2.3 API Connectivity
You authorize Trigada AI to connect to your Broker Account via the broker's API using credentials you supply. You are solely responsible for ensuring that your broker permits API-based third-party connectivity and that your account meets any minimum requirements imposed by the broker. Trigada AI does not store your broker login credentials beyond the encrypted API keys necessary for operation.
2.4 Restrictions on Use
You shall not: (a) sublicense, resell, rent, lease, or distribute the Software or any portion thereof; (b) reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software; (c) modify, adapt, or create derivative works based on the Software; (d) use the Software to develop a competing product or service; (e) circumvent or disable any security, authentication, or access-control mechanisms; or (f) share your account credentials with any third party.
2.5 Account Responsibility
You are fully responsible for all activity that occurs under your account. You must maintain the confidentiality of your login credentials and notify Trigada AI immediately upon discovering any unauthorized access. Trigada AI is not liable for losses arising from unauthorized use of your account where such use resulted from your failure to safeguard your credentials.
2.6 Trading Decisions and Risk
All trading parameters, risk settings, leverage levels, and position sizes are configured and controlled by you. Trigada AI does not monitor, advise on, or intervene in your trading positions. You acknowledge that trading FX, commodities, stocks, and digital asset derivatives carries substantial risk including the potential loss of your entire investment.
2.7 Updates and Modifications
Trigada AI may update, modify, or enhance the Software at any time to improve functionality, security, or performance. Material changes that alter core functionality will be communicated to active subscribers. Continued use of the Services after updates constitutes acceptance of any modified features.
2.8 Age and Eligibility
You represent and warrant that you are at least 18 years of age (or the age of legal majority in your jurisdiction), that you have full legal capacity to enter into this Agreement, and that your use of the Services complies with all applicable laws and regulations in your jurisdiction.
3. Service Terms
3.1 Subscription and Fees
Access to the Services requires a paid subscription. Fees are billed in advance on a recurring basis according to the billing cycle you select. All fees are non-refundable except where expressly required by applicable law. Trigada AI reserves the right to modify pricing with at least thirty (30) days' written notice prior to the start of your next billing cycle.
3.2 Service Availability
Trigada AI endeavors to maintain continuous service availability but does not guarantee uninterrupted access. The Services may experience downtime due to maintenance, infrastructure updates, third-party broker outages, or circumstances beyond our reasonable control. Trigada AI shall not be liable for any trading losses, missed opportunities, or other damages resulting from service interruptions.
3.3 Third-Party Dependencies
The Services rely on third-party broker APIs, data feeds, and infrastructure providers. Trigada AI is not responsible for the availability, accuracy, or performance of any third-party system. Changes made by your broker to their API, terms of service, or technical infrastructure may impact the operation of the Software, and Trigada AI assumes no liability for such disruptions.
4. Data Security and Privacy
Trigada AI implements industry-standard security measures to protect User Data, including encryption of API keys at rest and in transit. However, no method of electronic storage or transmission is completely secure, and Trigada AI cannot guarantee absolute security. You are responsible for maintaining the security of your own devices and network connections.
Your use of the Services is also governed by the Trigada AI Privacy Policy, available at trigada.com/privacy.html. By using the Services, you consent to the collection, use, and processing of your information as described in the Privacy Policy.
Trigada AI will not sell, share, or distribute your personal data to third parties except as required by law, as necessary to provide the Services, or as described in the Privacy Policy. In the event of a data breach that materially affects your account, Trigada AI will notify you in accordance with applicable data protection regulations.
5. Intellectual Property and Confidentiality
All intellectual property rights in the Software, including but not limited to source code, algorithms, trading logic, user interfaces, documentation, and branding, are and shall remain the exclusive property of Trigada AI. This Agreement does not transfer any ownership interest in the Software to you. Your license is strictly limited to the right of use as described in Section 2.
Each party agrees to maintain the confidentiality of the other party's Confidential Information and to use it solely for the purposes contemplated by this Agreement. You shall not disclose, publish, or disseminate any details regarding the Algorithmic Software's logic, methodology, performance metrics, or internal operations to any third party without prior written consent from Trigada AI.
Obligations of confidentiality do not apply to information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party prior to disclosure; (c) is independently developed without reference to the disclosing party's Confidential Information; or (d) is required to be disclosed by law or court order.
6. Warranty Disclaimer
THE SERVICES AND SOFTWARE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.
To the fullest extent permitted by applicable law, Trigada AI expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and reliability. Trigada AI does not warrant that: (a) the Services will meet your specific requirements or expectations; (b) the Services will operate without interruption, error, or delay; (c) any results obtained through the Services will be accurate, reliable, or profitable; or (d) defects in the Software will be corrected within any particular timeframe.
No representation, statement, or communication made by Trigada AI or its representatives, whether oral or written, shall create any warranty not expressly stated in this Agreement. Any reliance on the Services for trading decisions is undertaken entirely at your own risk.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRIGADA AI, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, TRADING LOSSES, LOST DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL, REGARDLESS OF THE CAUSE OF ACTION OR THEORY OF LIABILITY.
In no event shall Trigada AI's total aggregate liability to you for all claims arising out of or relating to this Agreement or the Services exceed the total amount of fees you have actually paid to Trigada AI during the twelve (12) months immediately preceding the event giving rise to the claim.
You expressly acknowledge that Trigada AI shall bear no liability whatsoever for: (a) trading losses of any kind, whether caused by Software behavior, market conditions, broker actions, or any combination thereof; (b) losses resulting from unauthorized access to your account; (c) losses arising from third-party broker API failures, outages, or changes; (d) losses caused by your misconfiguration of trading parameters; or (e) any actions or omissions by your broker.
8. Term and Termination
This Agreement is effective from the date you first access the Services and continues for the duration of your active Subscription Period unless terminated earlier in accordance with this section.
Termination by You: You may cancel your subscription at any time through your account dashboard or by contacting Trigada AI at [email protected]. Cancellation takes effect at the end of your current billing cycle. No partial refunds will be issued for unused time within a billing period.
Termination by Trigada AI: Trigada AI reserves the right to suspend or terminate your access to the Services immediately and without prior notice if you: (a) breach any term of this Agreement; (b) engage in fraudulent, abusive, or illegal activity; (c) attempt to reverse engineer or compromise the Software; or (d) fail to pay applicable fees when due.
Effect of Termination: Upon termination, your license to use the Software ceases immediately. Trigada AI will disconnect API access to your Broker Account. You remain responsible for any open positions or trades executed prior to termination. Sections 5, 6, 7, 9, and 11 of this Agreement shall survive termination.
9. Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with principles of international commercial law, without regard to conflict-of-law provisions of any particular jurisdiction.
Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to this Agreement, including its formation, interpretation, breach, or termination, shall be resolved exclusively through binding arbitration administered by the International Chamber of Commerce (ICC) under its then-current Rules of Arbitration. The arbitration shall be conducted by a single arbitrator. The language of the arbitration shall be English. The seat of arbitration shall be determined by the ICC. The arbitrator's decision shall be final and binding, and judgment upon the award may be entered in any court of competent jurisdiction.
Class Action Waiver: You agree that all disputes will be resolved on an individual basis only. You waive any right to participate in a class action, collective action, or representative proceeding against Trigada AI, whether in court or in arbitration.
Injunctive Relief: Notwithstanding the foregoing, Trigada AI may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights or Confidential Information.
10. Force Majeure
Neither party shall be liable for any failure or delay in performing its obligations under this Agreement where such failure or delay results from circumstances beyond the affected party's reasonable control. Such circumstances include, but are not limited to: natural disasters, pandemics, acts of war or terrorism, government actions or sanctions, power failures, internet or telecommunications outages, cyberattacks, broker or exchange outages, and changes in applicable law or regulation.
If a force majeure event persists for more than sixty (60) consecutive days, either party may terminate this Agreement upon written notice to the other party without further obligation, except for fees already accrued.
11. Miscellaneous
Entire Agreement. This Agreement, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and Trigada AI with respect to the Services and supersedes all prior or contemporaneous communications, proposals, and agreements, whether written or oral.
Severability. If any provision of this Agreement is found to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable while preserving the parties' original intent.
Waiver. The failure of either party to enforce any right or provision of this Agreement shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by the waiving party to be effective.
Assignment. You may not assign or transfer this Agreement or any rights or obligations hereunder without the prior written consent of Trigada AI. Trigada AI may assign this Agreement freely in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets.
Notices. All notices required or permitted under this Agreement shall be sent to the email address associated with your account. Notices to Trigada AI should be directed to [email protected]. Notices are deemed received upon confirmed delivery.
Amendments. Trigada AI reserves the right to modify this Agreement at any time. Material changes will be communicated via email or through the Services at least fifteen (15) days before taking effect. Your continued use of the Services after the effective date of any amendment constitutes your acceptance of the revised terms.
Independent Contractors. Nothing in this Agreement creates a partnership, joint venture, agency, or employment relationship between you and Trigada AI. Each party is an independent contractor and has no authority to bind the other.
